Terms of Use

1Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that:

• You are legally capable of entering into binding agreements
• Your use of the Services does not violate applicable law
• All information you provide is accurate and current

2Accounts

2.1 Account Registration

Certain Services require registration of an account. You agree to provide accurate and complete information and to maintain such information in a current state.

2.2 Account Security

You are responsible for:

• Maintaining confidentiality of credentials
• Safeguarding passwords and API keys
• Restricting unauthorized access
• All activity occurring under your account

You must immediately notify Qistone of any suspected unauthorized use or security breach.

2.3 Organizational Accounts

If your account is associated with an organization, organizational administrators may control or manage your account, usage may be monitored for operational or security purposes, and organizational policies may apply.

3Access to the Services

3.1 License Grant

Subject to these Terms, Qistone grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for lawful business or internal purposes, in accordance with these Terms, and any applicable written agreements with Qistone.

3.2 Restrictions

You may not:

• Copy, reproduce, distribute, or resell the Services
• Reverse engineer or attempt to extract source code
• Bypass security mechanisms
• Interfere with platform operations
• Conduct unauthorized penetration testing
• Use the Services to develop competing products
• Scrape or harvest data
• Overload infrastructure
• Introduce malicious code
• Use automated systems without authorization
• Circumvent rate limits or access controls
• Access data belonging to other tenants or customers
• Use the Services for unlawful, harmful, fraudulent, or abusive activities

3.3 API & Integration Usage

Use of APIs, SDKs, integrations, or developer tooling may be subject to rate limits, technical restrictions, additional developer terms, authentication requirements, and operational controls. Qistone may suspend or revoke API access at any time to protect platform integrity or security.

4AI-Enabled Features

Certain Services may include AI-assisted workflows, automation systems, machine-learning-assisted recommendations, operational diagnostics, intelligent orchestration, automated summaries, and generated outputs.

You are solely responsible for reviewing outputs, validating recommendations, implementing appropriate human oversight, and ensuring compliance with applicable laws and regulations. Qistone disclaims responsibility for decisions made based on AI-generated content or automated outputs.

You may not use AI-enabled features to violate laws, to infringe rights, to generate harmful or deceptive content, to process restricted data without authorization, or in ways prohibited by Qistone policies.

5Customer Data

5.1 Ownership

You retain ownership of data, content, and materials submitted to the Services (“Customer Data”).

5.2 License to Qistone

You grant Qistone a worldwide, non-exclusive license to host, process, store, transmit, display, analyze, and otherwise use Customer Data solely as necessary to provide the Services, maintain security, improve operations, support integrations, comply with legal obligations, and enforce these Terms.

5.3 Responsibility for Customer Data

You are solely responsible for:

• Legality of Customer Data
• Obtaining required consents
• Compliance with laws and regulations
• Backup and retention obligations
• Ensuring submitted content does not violate third-party rights

6Privacy

Use of the Services is subject to the Qistone Privacy Policy. By using the Services, you acknowledge that Qistone may collect and process information in accordance with the Privacy Policy.

7Platform Operations & Availability

Qistone may modify Services, add or remove features, perform maintenance, impose operational limits, suspend access, and discontinue portions of the platform. We do not guarantee uninterrupted availability. Scheduled or emergency maintenance may occur without prior notice.

8Security & Tenant Isolation

Qistone implements commercially reasonable safeguards intended to protect platform integrity and customer information. However, no system is completely secure, users remain responsible for protecting credentials, and users must implement appropriate security controls within their own environments. Unauthorized attempts to access systems, infrastructure, or data are strictly prohibited.

9Acceptable Use

You may not use the Services to:

• Violate laws or regulations
• Infringe intellectual property rights
• Distribute malware
• Engage in harassment or abuse
• Conduct phishing or fraud
• Interfere with platform operations
• Bypass access restrictions
• Conduct unauthorized surveillance
• Facilitate harmful automation
• Exploit vulnerabilities
• Generate unlawful content
• Process prohibited regulated data without authorization

Qistone reserves the right to investigate violations and cooperate with law enforcement.

10Feedback

If you provide suggestions, feedback, ideas, or recommendations regarding the Services (“Feedback”), you grant Qistone a perpetual, irrevocable, worldwide, royalty-free right to use and exploit such Feedback without restriction or compensation.

11Intellectual Property

The Services, including all associated software, infrastructure, workflows, APIs, interfaces, trademarks, branding, documentation, designs, and operational systems, are owned by Qistone or its licensors and are protected by intellectual property laws. Except as expressly stated, these Terms do not grant any ownership rights.

12Third-Party Services

The Services may interoperate with third-party products, integrations, or providers. Qistone is not responsible for third-party services, external systems, integrations, content, security practices, or operational availability of third parties. Use of third-party services is subject to their respective terms and policies.

13Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QISTONE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

QISTONE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUTPUTS WILL BE ACCURATE, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.

14Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QISTONE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

QISTONE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO QISTONE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY U.S. DOLLARS ($50 USD) IF NO FEES WERE PAID.

15Indemnification

You agree to defend, indemnify, and hold harmless Qistone and its officers, directors, employees, affiliates, and agents from claims arising from your use of the Services, Customer Data, violations of these Terms, unlawful conduct, infringement claims, misuse of AI-enabled functionality, and security violations caused by your actions.

16Termination

Qistone may suspend or terminate access to the Services at any time, with or without notice, including for violations of these Terms, security risks, operational concerns, abusive conduct, non-payment, and legal compliance requirements.

Upon termination, your rights immediately cease, access may be revoked, and data may be deleted in accordance with retention policies.

17Export Controls

You may not use or export the Services in violation of U.S. export laws, sanctions regulations, trade restrictions, or other applicable laws. You represent that you are not located in restricted jurisdictions or prohibited party lists.

18Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

19Dispute Resolution & Arbitration

Any dispute arising from or relating to the Services or these Terms shall be resolved through binding arbitration administered by JAMS in accordance with applicable arbitration rules. You waive any right to:

• Jury trial
• Class actions
• Representative proceedings
• Consolidated claims

Arbitration shall occur in Nevada unless otherwise required by law. Either party may seek injunctive relief for intellectual property misuse or unauthorized access.

20Changes to These Terms

Qistone may modify these Terms periodically. Updated Terms become effective upon posting unless otherwise specified. Continued use of the Services constitutes acceptance of revised Terms.

21Entire Agreement

These Terms, together with the Privacy Policy and any applicable written agreements, constitute the entire agreement between you and Qistone regarding the Services.
